
A mid-market house can name a CAIO and still have no seat. The test is one: one named person may halt a live system. If nobody can, the title is theatre. The name need not be the CAIO.
I run retained AI Executive Search mandates from Hamburg for DACH seats. The halt test is a Beyond Chiefs instrument, not a duty under the Stock Corporation Act, the GmbH Act, or the AI Act. The reader is management, not a supervisory board. This page does not open a search.
The Vorstand manages under its own responsibility. Only a natural person can be a member (§ 76 (1) and (3) sentence 1 AktG). A GmbH managing director owes the care of a prudent business person (§ 43 (1) GmbHG). Neither CAIO, nor Head of AI, nor 'AI owner' appears in those sentences. They also do not create a right to halt a live use. Residual duty stays with management. The title on the chart does not move it.
One named person may stop the live use. Now. In production, not in the minutes. Not recommend a pause. Not write a ticket. Not wait for a body that is only allowed to advise.
Who that is, the title-holder, management, someone else, is the house's signature. The page only requires that the name exist, and that the halt is a signature, not a suggestion. Who on an advisory board may halt a system: unknown.
A body that can only recommend fails the test. The live use keeps running until someone with a name turns it off.
Theatre looks ordinary. The CAIO is on the slide. The use is live in the plant, in service, with the customer. Nobody on the chart may halt it without first asking a round that itself cannot halt. Management handed out the title and did not put a name on the halt. Then the seat is not there. The label is.
The same holds when the name is 'the team', or 'we will settle it in steering'. A team is not a name. A round that only tables the question is not a halt.
